SWEEPSTAKES AND DRAWING PERIODS:  The entry period for the Scholly 2021 Rest of Year Sweepstakes (“Sweepstakes”) is from 12:01 AM Pacific Time on November 19, 2021 to 11:59 PM Pacific Time on January 8, 2022 (“Sweepstakes Period”).  Any entries received after the Sweepstakes Period will not be considered.

2. ELIGIBILITY: This Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who, as of the date of his/her entry are fifteen (15) years or older (“Entrant” or “You”).  If a dispute arises regarding who is entitled to enter the Sweepstakes, the proper Entrant will be the authorized account holder of the e-mail address used to enter the Sweepstakes.  “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  Individuals who are employees, officers or directors of Scholly, Inc., P.O. Box 764, Hollywood, CA 90029 (“Sponsor”), as well as Aspiration, Inc., Chime Financial Inc., ReliefClub, Inc. d/b/a Oxygen, NEXT Financial Inc. d/b/a Copper, Extra Financial Inc. d/b/a CHEESE, Stash Financial, Inc., Lili Financial Services Inc., Acorns Grow Inc., Acorns Advisors, LLC, Robinhood Markets, Inc., TrueBill Inc., JobGet Inc., Grammarly, Inc., and any of their respective parents, subsidiaries, affiliates, directors, officers, employees and agents in all matters relating to the Sweepstakes (collectively with Sponsor, the “Sweepstakes Entities”), and the immediate family members (spouses, domestic partners and parents, children and siblings and their spouses or domestic partners, regardless of where they live) or members of the same households (whether related or not) of such individuals are not eligible to enter or win.

By participating in this Sweepstakes, Entrants agree: (a) to be bound by these Official Rules and by the interpretations of these Official Rules by Sponsor, and by the decisions of Sponsor, which are final in all matters relating to the Sweepstakes; (b) to release and hold harmless Sweepstakes Entities and their respective agents, employees, officers, directors, successors and assigns, against any and all claims, injury or damage arising out of or relating to participation in this Sweepstakes and/or use or misuse or redemption of a Prize (as hereinafter defined); and (c) acknowledge acceptance of and compliance with these Official Rules.  All applicable federal, state, and local rules apply.

 

3. HOW TO ENTER:  On or about the start of the Sweepstakes Period, Sponsor will post information about the Sweepstakes on its website, www.myscholly.com. To enter, Entrants must do the following: 

(1) For one (1) entry, create an account at https://www.myscholly.com/offers; and  

(2) Open an account or enroll in a subscription with one of the Sweepstakes Entities listed below. Please note that Entrants will be required to complete a separate entry form on the webpage of the applicable Sweepstakes Entity:

(ii) Enter without opening an account or enrolling in a subscription by completing the entry form on the webpage located at http://myscholly.com/fall-offer-npn. Each form completion is worth one (1) entry.

No mechanically reproduced, photocopied, illegible, or incomplete entries will be accepted, and all such entries will be void. 

Affiliate Disclosure: When you open an account or enroll in a subscription with one of the Sweepstakes Entities, Sponsor may earn an affiliate commission. 

4. WINNER DETERMINATION & PRIZE: Sponsor or its designated agent will select fifty-nine (59) potential winners by random drawing from all eligible Entries received. Prizes include: (i) twenty-one (21) $200 cash prizes (ARV: $4,200); (ii) fourteen (14) $250 cash prizes (ARV: $3,500); (iii) three (3) $1,000 cash prizes (ARV: $3,000); (iv) twelve (12) $500 cash prizes (ARV: $6,000); (v) four (4) Apple iPhone 13 (ARV: $3,200); (vi) four (4) Apple AirPod Pros (ARV: $1,000); and (vii) one (1) $10,000 cash prize (collectively, the “Prizes”). Total aggregate ARV: $30,900. Potential winners will be selected on the following dates from among all eligible Entries received as of that date:

The odds of winning depend on the total number of eligible Entries received as of the drawing date. All prize details not specified above, including method of payment or delivery, and device colors and styles, are within Sponsor’s sole discretion. Prizes may differ from promotional pictures. Sponsor will not award the differences, if any, between ARV and actual retail values. Prizes are non-transferable and may not be substituted or exchanged, except in Sponsor’s sole discretion. Limit one (1) prize per person. Non-winning Entries will be eligible for any remaining drawings during the Sweepstakes Period. All other costs related to prize acceptance, delivery and use not specified herein as being provided, including federal, state, and local taxes, are the responsibility of the prize winner.

5. WINNER NOTIFICATION: The potential winners will be notified by e-mail within five (5) days of their entry being selected.  If Sponsor, using commercially reasonable efforts, is unable to contact a potential winner within five (5) business days from the first contact attempt, a Prize or Prize notification is returned as undeliverable, or if a potential winner has not, or does not, comply with these Official Rules, then such potential winner shall be disqualified and, at Sponsor’s discretion, an alternate potential winner may be randomly selected from the remaining eligible Entrants. Sponsor may/may not seek an alternate potential Prize winner in the event that the individual originally selected is disqualified, at Sponsor’s sole discretion.  Prize may not be substituted, and is neither transferable nor redeemable for cash.  Sponsor reserves the right to substitute Prize of equal or greater value. 

If a potential recipient is under the age of majority in his or her place of residence, the potential recipient’s parent or legal guardian may be required to accept on behalf of the potential recipient and provide any other documentation that may be required. Potential prize winners may be required to sign an affidavit, release, and/or appropriate income tax reporting documents in order to receive the prize. Failure to sign and return any such requested affidavit, release, or tax reporting document or to comply with any term or condition of these Official Rules may result in prize winner’s disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to a substitute prize winner. 

6. PUBLICITY:  Acceptance of any prize shall constitute and signify the winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, photo, entry and/or prize information in connection with the Sweepstakes for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law. As a condition of receiving a prize, the potential winner may be required to execute and return an affidavit of eligibility and/or liability and publicity release, in Sponsor’s sole discretion. Failure to complete and return such documents within the time period designated by Sponsor or its designee may result in forfeiture of the prize and selection of an alternate potential winner.     

7. PRIVACY:  By participating in the Sweepstakes, you consent to the collection, use and disclosure of your personal information by Sponsor for purposes of administering this Sweepstakes and awarding any prize.  Sponsor may also disclose your personal information as required by law. 8. GENERAL CONDITIONS: Noncompliance with these Official Rules may result in disqualification and any behavior by any participant that will bring the Sweepstakes or Sponsor or its affiliates into disrepute (in Sponsor’s sole discretion) will result in participant’s disqualification from the Sweepstakes and all privileges as a participant and/or potential prize winner will be immediately terminated.  Sponsor reserves the right to cancel, terminate or modify the Sweepstakes and prize if Sweepstakes cannot be completed as planned due to tampering, unauthorized intervention, or other conditions beyond Sponsor’s control.  Entry into Sweepstakes constitutes agreement to Rules and agreement to be bound by all decisions of Sponsor, acting in its sole discretion. All issues of interpretation are to be decided by the Sponsor, and are final and binding in all matters. Sponsor reserves the right to modify or terminate promotion and to disqualify any entrant if, in its sole discretion, integrity or fairness of promotion has been compromised. 

By participating in this Sweepstakes, You agree: [a] to these Official Rules and decisions of Sponsor, which shall be final and binding in all respects relating to the Sweepstakes; and [b] TO RELEASE, WAIVE, DISCHARGE, INDEMNIFY, DEFEND AND HOLD HARMLESS THE SWEEPSTAKES ENTITIES, AND THEIR RESPECTIVE PARENTS, AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, FULFILLMENT, AND ADVERTISING AND PROMOTION AGENCIES, AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, PARTNERSHIP, MEMBERS, PRINCIPALS, EMPLOYEES, AGENTS, CONTRACTORS, ANDSUPPLIERS (COLLECTIVELY, “RELEASED PARTIES”) FROM ANY AND ALL LIABILITY OR RESPONSIBILITY WHATSOEVER FOR INJURIES, LIABILITY, LOSSES AND DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE) TO PERSONS, INCLUDING BODILY HARM, PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF A PRIZE, ENTRY, OR PARTICIPATION IN THIS SWEEPSTAKES OR IN ANY SWEEPSTAKES-RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, INVASION OF PRIVACY, COPYRIGHT, OR TRADEMARK.  THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, EPIDEMICS, WEATHER, OR TERRORISM.  Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, and in no event will any participant be entitled to receive attorneys’ fees or any other legal costs.  Sponsor, its affiliates, and the Released Parties are not responsible for any typographical or other error in Sweepstakes materials, including Sweepstakes advertising materials, the administration of the Sweepstakes or in the announcement of potential prize winner(s), or for lost, late, damaged, altered, misdirected, illegible, undelivered or incomplete entries.

WITHOUT LIMITING THE FOREGOING, AND EXCEPT WHERE PROHIBITED BY LAW, EVERYTHING REGARDING THIS SWEEPSATKES, INCLUDING THE PRIZES, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY.  CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

Released Parties are not responsible for and shall not be liable for: [a] electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind, including without limitation, server malfunction or by any human error which may occur in the processing of Entries; [b] failed, incomplete, garbled or delayed computer transmissions; late, lost, inaccurate, delayed, stolen, garbled, misdirected or incomplete Entries or for other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of Entries, the announcement of the Prize, the Prize deposit or transfer, the incorrect uploading of any Sweepstakes-related materials; or [c] any condition caused by events that may cause the Sweepstakes to be disrupted or corrupted. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes.  Persons who tamper with or abuse any aspect of the Sweepstakes or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes or any portion thereof should viruses, bugs or other causes corrupt the administration, security or proper play of the Sweepstakes, and limit Entries to those submitted prior to the action taken, or to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion and, if terminated, to award the Prize from all non-suspect, eligible Entries received prior to such action taking place using the judging procedure set forth above.

CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

9. DISPUTES:  Except where prohibited, participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Delaware. ENTRANTS AGREE TO INDEMNIFY AND HOLD SPONSOR, ITS AFFILIATES, AND THE RELEASED PARTIES HARMLESS FROM ANY AND ALL LIABILITY RESULTING OR ARISING FROM THE SWEEPSTAKES, and to release all rights to bring any claim, action or proceeding against the Sponsor, its affiliates, or the Released Parties. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules (whether of the State of Delaware or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Delaware. Participants consent to the exclusive jurisdiction and venue of state and federal courts in the State of Delaware for all disputes relating to these Official Rules and the Sweepstakes.

GENERAL CONDITIONS: By participating in this Giveaway, You agree: [a] to these Official Rules and decisions of Sponsor, which shall be final and binding in all respects relating to the Giveaway; and [b] to release, waive, discharge, indemnify, defend and hold harmless the Giveaway Entities, and their respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, shareholders, partnership, members, principals, employees, agents, contractors or suppliers (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind arising out of or related to their participation in the Giveaway or their acceptance, use or misuse of a Prize including, without limitation, personal injury, death and property damage, and claims based on publicity rights, copyright, trademark, defamation or invasion of privacy.

Released Parties are not responsible for and shall not be liable for: [a] electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind, including without limitation, server malfunction or by any human error which may occur in the processing of Entries; [b] failed, incomplete, garbled or delayed computer transmissions; late, lost, inaccurate, delayed, stolen, garbled, misdirected or incomplete Entries or for other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Giveaway, including, without limitation, errors or difficulties which may occur in connection with the administration of the Giveaway, the processing of Entries, the announcement of the Prize, the Prize deposit or transfer, the incorrect uploading of any Giveaway-related materials; or [c] any condition caused by events that may cause the Giveaway to be disrupted or corrupted. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Giveaway.  Persons who tamper with or abuse any aspect of the Giveaway or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Giveaway or any portion thereof should viruses, bugs or other causes corrupt the administration, security or proper play of the Giveaway, and limit Entries to those submitted prior to the action taken, or to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion and, if terminated, to award the Prize from all non-suspect, eligible Entries received prior to such action taking place using the judging procedure set forth above.

CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

9. DISPUTES:  Except where prohibited, participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Delaware. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules (whether of the State of Delaware or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Delaware.
